Referral Program Terms

Last updated: October 28, 2026

These terms are between Unify AI Business Corporation (“Unify,” “we,” or “us”) and the individual or organization applying to our referral program (“you”). By submitting an application and accepting these terms, you agree to them. You may participate and earn rewards only after we approve your application.

1. Joining the program

You must be at least 18, legally able to enter this agreement, and authorized to act for any organization you represent. Provide accurate application information and keep your contact and payment details current. Participation must comply with your employer’s policies and applicable law. Unify employees and anyone evaluating or purchasing Unify on behalf of the referred company are not eligible to receive rewards for that purchase.

This is a non-exclusive referral arrangement. You may recommend other products. You are not our employee, agent, reseller or legal partner and cannot negotiate or accept commitments on our behalf. You cover your own promotion expenses. Neither approval nor participation guarantees earnings.

2. Eligible referrals and attribution

A referral must be a genuine business introduction submitted through the program before the first sales meeting resulting from that introduction. You must have the contact’s permission to share their details and make the introduction. Submitting a name or company domain alone does not establish eligibility or attribution.

Eligible referrals must not be existing Unify customers or have an active sales opportunity or ongoing sales conversation with Unify when submitted. Previously closed-lost prospects may qualify if you make a new introduction and neither an active sales opportunity nor an ongoing sales conversation exists at submission. A contact’s presence in our records alone does not disqualify a referral. Self-referrals and referrals of your employer, businesses you control or entities in the same corporate group are excluded.

If more than one participant refers the same company, attribution belongs to the earliest complete, eligible introduction supported by our records. Unify may request supporting information to resolve competing claims. Multiple contacts, domains or workspaces for the same buying entity do not qualify for separate rewards. Separately contracting companies require separate eligibility confirmation.

To qualify for commission, the referred customer must sign an eligible contract within 12 months of Unify’s written acceptance of the referral. Commission continues to apply to eligible payments collected after that window, provided the contract was signed within it. If an accepted referral closes lost and later reopens, the original 12-month window continues and does not reset.

Later website visits or referral links do not override an accepted introduction. Unify is not obligated to enter into a contract with a referred prospect.

3. Demo reward and customer discount

You earn $100 once per eligible referred company when a relevant buyer attends a substantive sales demo and Unify confirms a genuine business need and fit for an annual Business contract. A booking, cancellation, no-show, repeat demo or meeting arranged only to collect a reward does not qualify. A purchase is not required for the demo reward.

The referred company receives 5% off eligible subscription fees for the first year of an annual Business contract, confirmed in its order form. The discount must be recorded before signing and does not apply to taxes, services or renewals. It cannot be combined with another discount unless Unify agrees in writing.

The $100 is paid to the referrer, not the person attending the demo. Any separate attendee incentive has its own terms. A referral cannot earn duplicate referrer rewards under another Unify partner or referral arrangement unless we expressly agree in writing. The demo reward and commission under this program may both be earned.

4. Commission and tiers

Commission applies to eligible annual Business contracts. Monthly self-serve plans do not qualify. An annual commitment paid in installments remains an annual contract; commission is earned only as the eligible installments are collected.

Each eligible referred company counts once, when its first payment clears. The company reaching a threshold receives the higher rate. Its rate remains fixed for the original first-year service period; earlier customers are not repriced. The rate is capped at 15%, starting with customer six. Earned tiers do not expire while you remain in the program. A legitimate later cancellation does not reduce your tier; a fraudulent or duplicate customer count may be corrected with notice.

Eligible revenue is subscription revenue actually received and retained by Unify for the customer’s first 12 months of service, after discounts, credits, refunds and reversals. Taxes, one-time fees, implementation, training, services, usage overages, renewals and later years are excluded. Additional seats qualify only for service within that original first-year period. Multi-year prepayments are allocated to first-year service; they do not earn commission on later years. A change in plan, billing schedule or seat count does not restart the first-year period.

5. Payments and adjustments

Rewards are payable only when the applicable eligibility requirements are met and, for commissions, customer payment has been received. Estimated rewards do not establish a payment entitlement. Provide the payment details and tax documentation reasonably required to pay you, including a W-9 or appropriate W-8 form where applicable. You are responsible for your taxes; Unify may make legally required withholding. We cannot pay a recipient prohibited by law or applicable sanctions.

Approved rewards are paid in USD within 30 days after the end of the month in which verification and required payment details are complete. There is no minimum payout balance. Any recipient-paid processing or currency conversion fees will be disclosed before payment. Keep your payment details accurate; failed payments will be retried after the details are corrected.

If a customer payment is refunded, charged back or reversed, the related commission is reduced proportionately. Any adjustment is limited to the commission attributable to that amount, not the customer’s full payment. Overpaid commissions may be offset against future rewards or, if no future rewards are expected, repaid within 30 days of a documented request. A valid demo reward is not reversed merely because the prospect does not buy or later cancels.

We may temporarily hold a disputed reward while investigating fraud, attribution, payment or compliance concerns. We will explain the hold, request any needed evidence and pay undisputed rewards on the normal schedule. Raise a statement error within 60 days of receiving the statement; we will review the evidence and explain the outcome. Reporting later does not waive rights that cannot legally be waived.

6. Honest and lawful promotion

Make accurate recommendations and clearly disclose that you may receive compensation for a referral. Do not misrepresent your experience or promise results, pricing or features that Unify has not authorized. Participation does not require social media posts.

Do not send spam, disregard opt-outs, fabricate leads, buy fake engagement, manipulate attribution or use misleading redirects. Do not offer unauthorized rebates or incentives, or give anything of value to improperly influence a purchase, including payments to public officials. Follow applicable advertising, privacy, anti-bribery, sanctions and marketing laws. Sub-referral partner networks and paid campaigns using Unify’s brand or branded search terms require prior written approval.

7. Brand and content rights

While approved, you may use materials Unify supplies for this program to make authorized recommendations, subject to our brand guidelines. This permission is limited, non-exclusive, non-transferable and revocable. Unify retains ownership of its brand and materials. Do not impersonate Unify, register confusing domains or accounts, alter logos without permission, or imply authority to act for us.

You retain ownership of your original content and must have rights to any third-party content you use. This agreement does not give Unify permission to run ads from your profile or reuse your likeness or content in paid campaigns; those uses require a separate agreement. Stop using program materials when participation ends or permission is withdrawn.

8. Privacy, confidentiality and account security

Share only contact information needed for an agreed introduction and retain evidence of the permission you rely on. Do not submit sensitive personal information or someone else’s credentials. Unify handles personal information under its Privacy Policy. Promptly notify us of unauthorized access to your portal account or referral information.

Both parties must protect non-public business information received through the program, including prospect details, negotiated pricing and payment records. Use it only for the program and disclose it only to people who need it and are bound to protect it. This excludes information already lawfully known, independently developed, publicly available without a breach, or lawfully received from another source. Legally required disclosure is permitted with advance notice where allowed. On request or termination, return or delete confidential information, except legally required records and protected backups. These obligations continue for three years after termination, and for trade secrets for as long as they remain protected by law.

9. Leaving, suspension and program changes

You may leave at any time, without a fee or notice period, by emailing partnerships@unifygtm.com. Your withdrawal takes effect when we receive it, or on a later date you request. Unify may end participation without cause on 30 days’ written notice. We may immediately suspend access or participation for suspected fraud, unlawful conduct or a security risk, and may terminate for a material breach. Where a breach can reasonably be corrected, we will describe it and allow 15 days to correct it before termination.

No new introductions qualify after termination takes effect. Legitimate referrals accepted before termination remain eligible for the demo reward and first-year commission under these terms, including the original 12-month contract-signing window. Fraudulent referrals and rewards directly resulting from a breach do not qualify. Leaving this program does not cancel your own Unify subscription or a referred customer’s contract. It does not eliminate valid unpaid rewards or authorize us to reduce an already locked commission rate. Stop representing yourself as an active referral partner and stop making new program referrals when participation ends. We will provide records of remaining rewards on request even if portal access ends.

We will give at least 30 days’ notice of material program changes by email or portal notice, except changes required sooner by law or to prevent fraud or security harm. Changes apply prospectively; previously accepted referrals retain the terms that applied when accepted. Continued participation after the effective date accepts the revised terms. You may leave if you do not agree.

10. Service limitations and responsibility

The program tools and marketing resources are provided as available. To the extent permitted by law, Unify disclaims implied warranties of merchantability, fitness for a particular purpose and non-infringement. We do not guarantee uninterrupted portal access, conversion rates or earnings. An outage does not erase an otherwise valid referral supported by written evidence.

To the extent permitted by law, neither party is liable for indirect, consequential or punitive losses arising from this agreement. Each party’s total liability is limited to the greater of $1,000 or rewards paid or payable to you in the 12 months before the event giving rise to the claim. These limits do not restrict valid reward payments, repayment of documented overpayments, fraud, willful misconduct, confidentiality or privacy breaches, the indemnity below, or liability that cannot legally be limited.

You will defend Unify against third-party claims arising from your unlawful promotions, unauthorized use of third-party content or unauthorized disclosure of referral data, and cover resulting damages and reasonable legal costs. This does not cover claims caused by Unify’s own misconduct or your authorized use of unmodified Unify materials. Unify must promptly notify you, reasonably cooperate and allow you to control the defense with suitable counsel. A settlement requiring an admission, payment or other obligation from Unify needs its written consent.

11. Notices, disputes and other terms

Send program and payment questions to partnerships@unifygtm.com and legal notices to legal@unifygtm.com. Notices to you may be sent to your application email or through the portal. Keep that email current. The parties will first try in good faith to resolve disputes for 30 days after written notice, without preventing urgent relief for misuse of intellectual property or confidential information.

California law governs, excluding conflict-of-law rules. Disputes are subject to the courts in San Francisco, California, except where applicable law requires otherwise. Either party may seek urgent protective relief in a competent court.

These terms and any separately signed program agreement are the complete agreement for this program. A signed agreement controls any expressly conflicting provision; a customer’s order form controls its subscription and discount, not a referral partner’s commission unless separately agreed. Customer product terms remain separate. Neither party may transfer this agreement without consent, except with a merger, reorganization or sale of substantially all relevant assets, with the successor assuming its obligations. An unenforceable provision does not invalidate the rest, and a failure to enforce a term is not a waiver. Payment, confidentiality, liability and dispute provisions continue as needed after termination.
